Terms of Service
1. Who we are
Subtidy (the "Service") at subtidy.io is provided by Whoa Mart Ltd ("we", "us"). You can reach us at [email protected]. By using the Service you agree to these terms. If you do not agree, please do not use the Service.
2. The Service
Subtidy is a browser-based tool that checks and adjusts subtitle files in SRT, WebVTT and ASS formats. The free version lets you work on one file at a time with the standard presets and SRT export. Subtidy Pro adds features such as batch processing, custom limits, the 9:16 safe-zone check, additional export formats and frame rate conversion. We may improve, change or remove features over time. If we remove a Pro feature that is central to the plan you paid for, you can ask for a refund of the unused part of your current billing period.
3. Your files
Subtitle files are processed inside your browser and are not uploaded to our servers. You keep all rights to your files. You are responsible for having the right to use the files you work with.
4. Pro subscriptions and billing
- Pro is sold as a monthly or yearly subscription at the price shown on the site at the time of purchase. Prices are in US dollars and may include taxes where required.
- Payments are processed by Stripe. We do not see or store your full card details.
- Your subscription renews automatically at the end of each billing period and you will be charged the then-current price unless you cancel before the renewal date.
- If we change the price of your plan, we will tell you by email at least 30 days before the change applies to your next renewal.
- If a payment fails, Pro may stop working until the payment is resolved.
5. Cancelling
You can cancel at any time by opening Your plan on subtidy.io and choosing Manage billing, or by emailing [email protected]. When you cancel, Pro stays active until the end of the period you have already paid for and will not renew.
6. Refunds
We offer a full refund on any payment if you ask within 14 days of that payment. The details are in our Refund Policy. This does not affect your statutory rights.
7. License keys
After purchase you receive a license key that unlocks Pro in your browser. The key is for use by the person or team member who purchased the subscription, on their own devices. Please do not publish, sell or share your key with others. We may deactivate keys that are shared publicly or used in breach of these terms.
8. Acceptable use
You agree not to resell or sublicense the Service, attempt to bypass Pro restrictions or payment checks, interfere with the Service or its infrastructure, or use the Service for anything unlawful.
9. Check your output
Subtidy applies automated rules to your subtitles. Automated changes can occasionally be wrong for a particular programme, client or broadcaster specification. You are responsible for reviewing subtitles before you deliver or publish them.
10. Availability and warranty
We aim to keep the Service available and working well, but we provide it "as is" and cannot promise it will always be uninterrupted or error free. Nothing in these terms limits any rights you have under consumer protection law that cannot be excluded.
11. Liability
To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits or lost business arising from your use of the Service, and our total liability to you is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
12. Changes to these terms
We may update these terms from time to time. If a change materially affects paying subscribers, we will notify you by email before it takes effect. The date at the top shows when the terms were last updated.
13. Governing law
These terms are governed by the laws of England and Wales. If you are a consumer, you may also have the benefit of mandatory rules of the country where you live, and you may bring proceedings in your local courts.
